The Team: This position reports directly to the Chief Corporate Counsel & Corporate Secretary.

The Impact: The Contracts and Procurement Attorney is responsible for leading and supervising legal aspects of S&P Global's procurement function, including negotiating complex technology and other vendor agreements, serving as a critical business partner and trusted advisor.

The ideal candidate will be energetic, business-minded, and a self-motivated attorney with at least 7 years experience, and preferably prior in-house experience. The successful candidate will have excellent communication and interpersonal skills, strong judgment, a broad range of corporate experience, and an eagerness and passion to improve and build out the legal procurement function.

You will be able to use discretion and independent judgement, draft forms, contracts, and playbooks and respond to vendor contractual questions. You will assist in providing advice and counsel involving legal, privacy and regulatory issues of varying levels of complexity. This role will give you scope to act autonomously within a global legal team as well as build a team of 2-3 direct reports.

Job Responsibilities:
• Negotiates and drafts various types of vendor agreements, including software licensing, technology, outsourcing, professional services, marketing, recruitment, and travel-related vendor agreements.
• Main legal contact for the S&P Global' s global Procurement function.
• Works closely with senior management on vendor governance, including compliance with applicable policies and laws.
• Assists Procurement organization on the development of vendor governance policies and risk mitigation strategies in dealing with vendors.
• Participates in vendor governance and other applicable steering committees.
• Negotiates privacy and data protection aspects of agreements.
• Collaborates closely with other functional groups supporting the procurement function, including Privacy, Information Security, Regulatory, Compliance and Insurance as necessary.
• Provides SME expertise to assist divisional lawyers who negotiate vendor agreements.
• Provides legal assistance on contract disputes and other contractual matters arising from vendor agreements.
• Maintains and updates S&P Global' s standard form template agreements, such as consulting agreements, professional services agreements, NDAs, and SOWs.

Technical Competencies and Experience: Preference will be given to applicants who, in addition to meeting the minimum qualifications, possess the following:
• Knowledge of fundamentals of contract law and ability to work on and negotiate a wide range of vendor agreements, in particular engagements involving SaaS, Software Licensing audit reviews, Hardware Purchases and Maintenance agreements, as well as Value Added Reseller and IT outsourcing documentation.
• Knowledge in reviewing, developing, negotiating, and management of vendor contracts.
• Skill in foreseeing legal implications of contract terms and procurement and contract actions and providing legal advice accordingly.
• Experience negotiating global data protection agreements and standard contractual clauses.
• Familiarity with the Ariba contracting process management tool, or similar contract management platforms
• Skill in identifying problems, evaluating alternatives, and implementing practical solutions.
• Confidence in handling and managing high volume workflow, and multiple agreements and matters at the same time to tight deadlines.
• Professional, highly organized and detail-oriented.
• Ability to work as part of a cross-functional team and interact effectively with colleagues from outside the Legal department.
• The highest level of discretion, sensitivity and integrity in handling confidential information.
• Proficient in MS Word, Excel and PowerPoint.

Qualifications:
• Graduation from an accredited four-year college or university.
• Must hold a Juris Doctor degree from an accredited law school.
• Licensed to practice law in a State of USA.
• At least seven years of post-qualification experience in the practice of law.

S&P Global states that the anticipated base salary range for this position is $148,200 to $291,800. Base salary ranges may vary by geographic location.
